3. Service Description
ContextKit is a service designed to help make your website content more understandable to Large Language Models (LLMs) and other AI systems. The Service processes publicly accessible content from website URLs you provide to generate `llms.txt` files, Markdown versions of web pages, and related outputs (collectively, the "Generated Content"). The Service is intended to provide a standardized way to offer context to AI systems. You acknowledge that the Service utilizes automated systems and AI, which may have inherent limitations and potential inaccuracies. The effectiveness of the Generated Content also depends on how third-party AI systems interpret and utilize it, which is outside of our control.
4. Disclaimer of Warranties
THE SERVICE AND ANY GENERATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness of the Generated Content or its interpretation by AI systems
- That the Service will improve your website's performance or ranking in any AI system or search engine
- Compatibility with any specific hardware, software, or AI model
- Uninterrupted or error-free operation of the Service
- That the Service will meet all your requirements
5. Limitation of Liability
IN NO EVENT SHALL CONTEXTKIT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from inaccuracies in AI interpretations of your website content, even if influenced by the Generated Content
- Damages arising from your reliance on the Generated Content or the Service
- Costs of procurement of substitute goods or services
- Technical errors, data loss, or service interruptions
- Any damages arising from your use of the Service or the Generated Content
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
6. Use of the Service and Generated Content
Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to:
- Access and use the Service for the purpose of generating context files for your website(s).
- Download, use, modify, and deploy the Generated Content on the website(s) for which it was created.
This license is conditional upon your compliance with these Terms and shall automatically terminate upon any breach.
7. User Responsibilities and Representations
You agree to and represent that:
- You will provide accurate and complete information when using the Service, including valid website URLs.
- You own or have all necessary rights, licenses, and permissions to the content on any website URL you submit to the Service and to authorize us to process such content to provide the Service and generate the Generated Content.
- Your use of the Service and the Generated Content will not infringe upon the intellectual property rights or other rights of any third party.
- You will not submit any website URL that contains illegal, harmful, defamatory, or infringing content.
- You will maintain the security of any account credentials associated with the Service.
- You will not use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service.
- You will comply with all applicable laws and regulations in your use of the Service.
- You are responsible for implementing the Generated Content on your website(s) and for any consequences thereof.
8. Intellectual Property
Our Intellectual Property: The Service and its original content (excluding your website content and the Generated Content derived from it), features, and functionality (including our crawlers, processing algorithms, and user interface) are and will remain the exclusive property of ContextKit and its licensors. These are protected by copyright, trademark, and other laws.
Your Website Content: You retain all ownership rights to the content on your website(s) that you submit to the Service. By submitting a website URL, you grant us a worldwide, non-exclusive, royalty-free license to access, use, reproduce, process, and display the publicly accessible content from that website solely for the purpose of providing the Service to you and generating the Generated Content.
Generated Content: Subject to your compliance with these Terms and payment of applicable fees, you own the specific `llms.txt` files, Markdown files, and other output generated by the Service from your website content. You are free to use this Generated Content as described in Section 6.
9. Data Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.
10. Payments and Subscriptions
If you purchase any paid Service, you agree to pay the specified fees. Payments are processed through our third-party payment processor (e.g., Stripe). For subscription services, your subscription will automatically renew unless cancelled. Details regarding fees, payment terms, and cancellation will be provided at the time of purchase. We reserve the right to change our prices.
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us. Provisions that by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).
12. Indemnification
You agree to indemnify, defend, and hold harmless ContextKit and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Service or the Generated Content; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right; or (iv) any claim that your website content caused damage to a third party.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Finland. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ContextKit regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
